Terms & Conditions of Sale

These Terms & Conditions of Sale apply to goods sold by RESQ Equipment Pty Ltd (ABN 28 669 537 473) trading as RSQ Australia.

By placing an order with RSQ Australia, accepting a quotation, submitting a purchase order against a quotation, or completing an eligible online purchase, you agree to these Terms & Conditions of Sale.

These terms apply to the sale of goods and associated services. Separate terms apply to vehicle hire.

Nothing in these terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded, restricted or modified, including rights under the Australian Consumer Law.

1. Orders

You may place an order by:

  • completing an eligible purchase through our website;

  • accepting a written quotation issued by RSQ Australia;

  • providing a purchase order accepted by RSQ Australia; or

  • another method agreed by us.

An acknowledgement that we have received an order or purchase order does not necessarily mean that we have accepted it.

We may need to confirm stock, supplier availability, freight, technical requirements or other details before accepting an order.

Once an order has been accepted, cancellation or changes are subject to these terms and any specific terms stated in the applicable quotation or order confirmation.

2. Quotations

A quotation is valid for the period stated on it unless withdrawn or replaced earlier.

Unless stated otherwise, quotations are subject to product availability at the time the order is accepted.

A quotation may specify particular:

  • products and quantities;

  • prices;

  • freight or delivery charges;

  • lead times;

  • payment terms;

  • validity periods; or

  • other conditions.

If there is an inconsistency between these general Terms & Conditions of Sale and specific written terms contained in an RSQ Australia quotation accepted for a transaction, the specific quotation terms apply to that transaction to the extent of the inconsistency.

Requesting a quotation through our website does not itself place an order.

3. Prices and GST

All prices are in Australian dollars unless otherwise stated.

Unless expressly stated otherwise, RSQ Australia's selling prices are GST inclusive where GST applies.

Our website may allow prices to be viewed inclusive or exclusive of GST. Selecting an exclusive-GST display does not change the underlying selling price.

Where GST applies, tax invoices and transaction records will identify the applicable GST in accordance with Australian taxation requirements.

Freight, delivery, installation, special packaging or other charges may be additional where specified during checkout, in a quotation or otherwise agreed with you.

4. Pricing errors

We take reasonable care to ensure prices are accurate.

If a product is advertised or quoted at an incorrect price because of a genuine clerical, system or data error, we may notify you and, where permitted by law, offer you the opportunity to proceed at the correct price or cancel the affected order.

If you have already paid and the order is cancelled because of such an error, amounts paid for the cancelled goods will be refunded.

Nothing in this clause limits rights or remedies that cannot lawfully be excluded.

5. Payment

For website purchases, payment is required through the payment methods made available at checkout unless otherwise agreed.

Online card payments may be processed by Stripe.

For quotation or account sales, payment is due in accordance with the payment terms stated on the quotation, invoice, approved account arrangement or other written agreement.

You must pay amounts properly due by their due date.

Any credit facility or account terms offered by RSQ Australia are subject to our approval and may be subject to separate conditions.

6. Availability and supply

Product availability may change between enquiry, quotation and order acceptance.

Products may include:

  • stocked items;

  • products available for supply despite current stock being zero;

  • products purchased from a supplier after an order is received;

  • made-to-order products; and

  • products requiring quotation before supply.

Where an item is not immediately available, we may provide an estimated lead time.

Lead times are estimates unless we expressly agree in writing to a guaranteed delivery date.

If we cannot supply goods within a reasonable period, we will contact you to discuss available options, which may include an alternative product, revised timeframe or refund where appropriate.

7. Product information and suitability

We take reasonable care to describe products accurately.

Manufacturers and suppliers may change specifications, packaging, appearance or designs without notice.

Images may be illustrative and minor differences in appearance do not necessarily indicate that a different product has been supplied.

You are responsible for determining whether goods are suitable for your intended application unless:

  • you have made the particular purpose known to us; and

  • you reasonably rely on our skill or judgement in recommending goods for that purpose.

Where compatibility, dimensions, electrical characteristics, vehicle application, regulatory requirements or other technical characteristics are important, please confirm them before ordering.

Nothing in this clause limits any applicable consumer guarantee, including guarantees concerning fitness for a disclosed purpose.

8. Delivery

Delivery arrangements, charges and estimated timeframes will be shown during checkout, stated in our quotation or otherwise agreed with you.

You must provide accurate and complete delivery information and ensure that reasonable access is available for delivery.

Additional charges may apply where delivery cannot reasonably be completed because:

  • an incorrect or incomplete address was supplied;

  • access is unavailable;

  • special handling is required but was not disclosed; or

  • redelivery is required for reasons outside our reasonable control.

We will take reasonable steps to package goods appropriately for their intended method of transport.

Any delivery timeframe provided is an estimate unless expressly agreed otherwise.

9. Collection

Where collection is available, goods may be collected from RSQ Australia or another nominated location after we confirm they are ready.

You should not attend to collect an order until you have received confirmation that it is available.

We may require reasonable identification or evidence of authority before releasing goods.

10. Risk and title

Risk in goods passes to you when the goods are delivered to you, collected by you or your authorised representative, or otherwise as agreed in writing.

Where goods are supplied on approved credit terms, title to the goods remains with RESQ Equipment Pty Ltd until we have received payment in full for those goods, to the extent permitted by law.

Nothing in this clause limits rights that cannot lawfully be excluded.

11. Inspection and delivery issues

You should inspect goods within a reasonable time after delivery or collection.

If an order appears to be incorrect, incomplete or damaged in transit, please contact us as soon as reasonably practicable so that we can investigate.

Where possible, retain the packaging and provide photographs or other information reasonably required to assess a freight-damage claim.

Failure to notify us immediately does not remove any right or remedy you have under the Australian Consumer Law or other applicable law.

12. Change-of-mind returns

Unless we agree otherwise, RSQ Australia is not required to accept a return merely because you have changed your mind.

Where we elect to accept a change-of-mind return, we may impose reasonable conditions such as requiring the goods to be:

  • unused;

  • undamaged;

  • complete;

  • in saleable condition; and

  • returned with their original packaging where reasonably applicable.

Any approved change-of-mind return may be subject to reasonable freight, handling or restocking costs disclosed to you.

Change-of-mind restrictions do not apply where you are entitled to a remedy under the Australian Consumer Law or another applicable law.

13. Special-order, made-to-order and customised goods

Some products are specially ordered, manufactured, configured, printed, labelled, cut or otherwise prepared to your requirements.

Once we have committed costs or production has commenced, these products may not be cancellable or returnable for change of mind unless we agree otherwise.

This does not affect rights you may have if the goods fail to comply with an applicable consumer guarantee or other legal requirement.

14. Consumer guarantees

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law where that law applies.

Depending on the circumstances, goods must, among other things, be of acceptable quality, match their description and be fit for a disclosed purpose where the relevant legal requirements are met.

If goods fail to meet an applicable consumer guarantee, you may be entitled to a repair, replacement, refund or other remedy depending on the nature and seriousness of the failure.

Consumer guarantees may apply independently of, and may extend beyond, a manufacturer's stated warranty period.

Where RSQ Australia has obligations as the supplier of goods under the Australian Consumer Law, requiring you to deal with a manufacturer does not remove those obligations.

15. Manufacturer warranties

Some products may also carry a manufacturer's warranty.

Manufacturer warranties are additional to any rights that cannot lawfully be excluded under the Australian Consumer Law.

Warranty periods, conditions and procedures vary between manufacturers.

Where appropriate, RSQ Australia may assist with a manufacturer warranty claim, but doing so does not limit any separate obligation we may have as the supplier of the goods.

16. When a remedy may not be available

Subject to applicable law, a remedy may not be available where a problem was caused by circumstances such as:

  • misuse or abuse;

  • accidental damage after supply;

  • incorrect installation not performed or authorised by RSQ Australia;

  • use contrary to manufacturer instructions;

  • unauthorised modification;

  • failure to carry out required maintenance; or

  • ordinary wear and tear rather than a defect.

The availability of a remedy will depend on the circumstances and applicable law.

17. Returns process

Before returning goods, please contact RSQ Australia with:

  • your name or business name;

  • order, invoice or quotation number where available;

  • details of the product;

  • the reason for the return or claim; and

  • photographs or other relevant information where appropriate.

We may provide return instructions or arrange another appropriate assessment process.

Proof of purchase may be required. This does not necessarily need to be the original receipt where another acceptable form of proof of purchase is available.

Nothing in this returns process limits a legal right to a remedy.

18. Refunds

Where a refund is required or agreed, we will process it using an appropriate payment method.

Where practicable, a refund for an online card transaction may be returned to the original payment method.

Processing times after a refund is initiated may depend on the payment provider or financial institution.

Refund provisions in these terms do not restrict any refund entitlement under applicable law.

19. Cancellations by RSQ Australia

We may cancel or decline an order before supply where reasonably necessary because:

  • goods are unavailable;

  • a supplier can no longer supply the goods;

  • there is a material pricing or description error;

  • payment has not been received or authorised;

  • we reasonably suspect fraud or unauthorised payment;

  • fulfilment would breach applicable law; or

  • another circumstance makes fulfilment impracticable.

Where we cancel an order for goods that have been paid for but not supplied, we will refund the amount paid for those cancelled goods unless another arrangement is agreed with you.

20. Liability

Nothing in these terms excludes, restricts or modifies any guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified.

To the extent permitted by law, RSQ Australia is not responsible for loss caused by:

  • misuse of goods;

  • use contrary to supplied instructions;

  • unauthorised modification;

  • incorrect installation by another person; or

  • use of a product for an application for which it was not designed or supplied.

Any limitation of liability in these terms applies only to the extent permitted by law.

21. Business customers

These terms apply to both consumer and business transactions unless different written terms have been agreed.

A business customer may, in some circumstances, be a consumer for the purposes of the Australian Consumer Law and have the benefit of consumer guarantees.

Nothing in these terms is intended to exclude rights available to an eligible small business under laws governing unfair terms in standard-form contracts.

22. Privacy

Personal information collected in connection with orders, payments, quotations and customer accounts is handled in accordance with our Privacy Policy.

Payment information submitted through Stripe is also subject to Stripe's applicable privacy and security practices.

23. Disputes

If a dispute arises concerning an order or supply of goods, we encourage you to contact us first so that we can attempt to resolve the matter promptly.

Both parties should act reasonably and provide relevant information necessary to understand the dispute.

Nothing in this clause prevents either party from exercising a right or remedy available under applicable law.

24. Governing law

These Terms & Conditions of Sale are governed by the laws applicable in Western Australia, Australia.

The parties submit to the jurisdiction of the courts and tribunals of Western Australia and courts entitled to hear appeals from them, subject to any rights that cannot lawfully be restricted.

25. Changes to these terms

We may update these Terms & Conditions of Sale from time to time.

The terms applying to an accepted order are the terms applicable to that transaction when the order is accepted, together with any specific written terms agreed for that transaction.

Publication of revised terms does not retrospectively change an existing accepted order unless agreed or permitted by law.
